KloudOpp is a new early-stage Educational technology (EdTech) and Service Provider startup based on an ambitious & exciting, yet realistic product vision. Africa is the world's youngest continent and expanding the fastest. The number of young people working in Africa will rise to 375 million by 2030. The International Monetary Fund estimates that by 2035, there will be more young Africans joining the workforce each year than there are in the rest of the world put together due to population growth on the continent. The number of young individuals looking for work is much higher than the number of opportunities that are open to them. The skills of young people entering the workforce and the needs of companies are also out of sync. Many young people will have trouble finding employment to better their living conditions if nothing is done.

We have spent the last six months investigating the finest methods for creating the talent workflow system that will assist in matching African talents with opportunities. Currently, at the stage of developing the prototype system and business processes. We'll close the skills gap and provide African talent greater job chances. The founders are individuals with top academic background, professional experience in leading companies at leadership positions & strong technical background.

The aim of the company is to become a “unicorn” (one-billion-dollar valuation) in the next 3-5 years as the product-market is considerably validated. The company’s values are centered on meritocracy, reason, entrepreneurship, and empathy.

Job Position: Senior Legal Counsel

Job Summary

  • We are at a critical stage in our growth and have an urgent need for a Chief Legal Officer. Ideally, we want someone with previous startup experience who has experience in all phases of the Product process and is an expert.
  • As a Senior Legal Counsel, you will be responsible for managing legal matters pertaining to the organization. Provide a variety of general corporate and commercial legal services to a number of both in-house and outside clients. Act as advisor on legal issues involving the organization’s business units and affiliate companies. Review legal data and advise organization on appropriate legal action to be taken.
  • Demonstrate experience in general legal corporate matters, including drafting legal transactional documents, license agreements, advising on data privacy, tender reviews, legal risk and contract management.

Goal and Responsibilities

  • The role of the Senior Legal Counsel is to manage KloudOpp' legal relationships with its shareholders, customers, suppliers and investors statutory authorities – across, and between, all of its entities around the world.
  • Draft and maintain intercompany service agreements to meet PowerApps's commercial goals.
  • Manage KloudOpp’s terms of business with customers.
  • Manage KloudOpp’s service agreements with suppliers, to cover financial, operational and liability risk.
  • Manage KloudOpp’s compliance with travel industry regulations.
  • Manage KloudOpp’s intellectual property.
  • Draft and maintain shareholder agreements.
  • Manage company secretarial matters and statutory compliance for KloudOpp’s for-profit and charitable entities in 13 countries, working with local advisors where required.
  • Maintain relationships with external legal advisors, local and cross border.
  • Conduct research and develop legal frameworks, analyse local and international trends that could impact the business.
  • Conduct assessment on labour legislation compliance, locally and cross-border.
  • Generally, identify and manage financial, legal and regulatory risks facing OpenApps.
  • Provides general legal support to subsidiaries / business divisions within OpenApps group pertaining to commercial law, litigation, debt collection, contract law, corporate and dispute resolution.
  • Supervise external service providers on a cost benefit basis.
  • Conduct business improvement initiatives on ethics and corporate governance.

Duties

  • Participate in the delivery of general legal counsel with other legal resources within OpenApp Limited.
  • Participate in the provision of legal counsel to business.
  • Participate in the delivery of legal counsel and commercial support to the bid management team on client and/or vendor proposals and transactions.
  • Work closely with risk management team to mitigate legal risk and assist with the revision and development of company policies and procedures and contribute to the management of corporate governance.
  • Support legal strategy, standards and precedents and leverage learnings to enable business priorities and circumvent legal risk.
  • Conducts legal research of significant legal issues.
  • Work closely on the finalization of client deals, investors and contribute to the development of company policies and procedures, ensuring legal consistency within the areas in which OpenApp Limited/ Dimension Data MEA operates.
  • Offer detailed legal advice and commercial support on transactions with clients, suppliers and other 3rd parties.
  • Drafts and prepares contracts, agreements, and other legal documentation for a variety of different subjects.
  • Support with co-ordination of litigious matters and briefing external counsel when required.
  • Provide regular reports on the status of legal issues being dealt with.
  • Ensure that all relevant information regarding legal matters is accurate and kept up to date by updating the legal activity progress documents and providing regular reports on problem status to the relevant management teams and stakeholders.
  • Demonstrate high levels of integrity and professionalism.

Qualifications

  • Bachelor's Degree in Bachelor of Laws.
  • Strong analytical, general commercial contract drafting and negotiation skills.
  • Telecommunications and Information Technology industry experience preferred.

Minimum Previous Experience:

  • 6-12 years of similar experience within a law firm or corporate environment

Note

  • This is a startup, there is no salary until we can raise in December 2023. Founder is open to team members having a main job until funding is secured.
  • Again this is NOT A PAID POSITION, this is for equity in company & a large token allocation. Once we generate revenue or receive an investment then we can pay ourselves salary. All pending salary arrears will be prorated and paid upon funding in December 2023.
  • The individuals who will be hired at this position will be given a significant amount of equity given that the company is at ideation stage.
  • The person is fully remote.
  • The company is in its pre-seed with interest from few VCs once an MVP is made and possible grants from NEAR protocol.
